Vitruvin Affiliate Program Terms of Service

These Terms of Service form a legally binding agreement. Please review them carefully before joining the Vitruvin Affiliate Program.

Terms of Service

This Agreement sets forth the complete terms and conditions applicable to your participation in the Novus Creatus LLC (hereinafter - Vitruvin) Affiliate Program. The purpose of this Agreement is to establish the terms under which you may create HTML links between your website and the Vitruvin (Vitruvin.com & Vitruline.com) websites. Throughout this Agreement, the terms “We,” “Us,” and “Our” refer to Novus Creatus LLC/Vitruvin and “You,” “Your,” and “Yours” refer to the Affiliate.

By registering for and participating in the Vitruvin Affiliate Program (“Affiliate Program”), you confirm that you have read, understood, and agree to be legally bound by these Terms of Service (“Terms”). If you are registering on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. You are strongly advised to review these Terms carefully prior to registration. Vitruvin reserves the right to modify these Terms at any time. In the event of material changes, the updated Terms will be made available on our website.

Enrollment in the Affiliate Program

In order to enroll in our Affiliate Program, you must sign up using our registration form, which you can do by filling out the form provided in this link. We review all affiliate signups before deciding if an application is accepted. In case Your application does not meet the criteria for our Affiliate Program, we reserve the right to reject it, as well as terminate your existing Affiliate Program registration.

Affiliate Program Overview

Participation in the Affiliate Program entitles you to earn commission fees on qualifying sales. Upon successful registration in the Affiliate Program, you will be issued a unique affiliate link (hereinafter referred to as the “Affiliate Link”), which may be used on websites owned or controlled by you, in email communications sent by you, or in online advertisements placed by you. When a user accesses the Vitruvin website through your Affiliate Link, a browser cookie will be placed to track activity for a period of 30 days. You will be eligible to earn commission fees for purchases made by that user while the cookie remains valid. In cases where a user disables cookies, deletes the cookie, the cookie expires, or tracking becomes otherwise unfeasible due to technical or privacy-related reasons, you acknowledge that you may not be eligible for a commission fee for any resulting transactions.

All commission fees and related payouts are managed and administered by the respective affiliate networks - Impact or Awin - and are subject to their applicable payout terms and conditions. All matters concerning the calculation, approval, and disbursement of commission fees shall be governed by the rules and policies established by Impact and/or Awin. For detailed information regarding your rights and the applicable payout procedures, please refer to the official websites of Impact and Awin.

Affiliate Obligations

As a Vitruvin Affiliate, you acknowledge and agree to the following:

1. Accuracy of Information:

You represent and warrant that all information provided to us - such as your name, website URL, and payment details - is accurate and up to date. You are responsible for promptly updating this information as necessary. Vitruvin reserves the right to request updated information at any time.

2. Prohibited Conduct:

You shall not engage in any activity, recommendation, or behavior that could result in financial loss or reputational harm to Vitruvin. This includes, but is not limited to, fraudulent, misleading, or unethical practices.

3. Self-Referrals Prohibited:

Self-referral is strictly prohibited. You may not click on your own affiliate links or banners to generate commissions. Any transactions originating from matching IP addresses used for both affiliate login and purchases will be deemed self-referrals. Such activity may result in forfeiture of all accrued commissions and immediate removal from the program.

4. Unethical Promotion Practices:

You agree not to use black hat SEO techniques, spam link-building, or any form of malicious behavior intended to manipulate affiliate tracking or commission structures. Any such actions will lead to automatic termination from the Vitruvin Affiliate Program and loss of all pending commissions.

5. Inappropriate Content Restrictions:

Promotion of the following is strictly forbidden and may result in account suspension or termination:

• Sexually explicit content;

• Hate speech or violence;

• Discrimination based on gender, race, religion, nationality, or sexual orientation;

• Content opposing any government or organization;

• Any other activity deemed unlawful or misaligned with Vitruvin’s brand values.
  
  
  

6. Link Placement Review:

Vitruvin reserves the right to monitor and approve the placement and usage of affiliate links at its sole discretion.

7. Compliance with Laws and Intellectual Property:

You are solely responsible for ensuring that your promotional content complies with all applicable intellectual property laws. You must have proper authorization to use any third-party copyrighted materials. Vitruvin disclaims all liability for your unauthorized use of protected content.

8. Right to Review and Enforcement:

Vitruvin reserves the right to assess each case individually in accordance with internal company policies and to take appropriate action, including termination from the program where warranted.

Promotion Rules for Affiliates

As an affiliate, you are permitted to promote your own websites; however, any promotional activity that references Vitruvin must not be misrepresented to the public or press as a collaborative or joint marketing initiative. Please note that Vitruvin strictly prohibits certain advertising practices, as outlined below.

You may only use promotional materials that have been expressly approved and distributed by Vitruvin. These materials may include official logos, slogans, trademarks, banners, and other brand assets. Such content is provided to ensure brand consistency and may be used solely for the purpose of promoting Vitruvin through your marketing channels, including your website, email communications, and other agreed-upon platforms. Any promotional use of Vitruvin’s intellectual property outside of these approved materials or for purposes not aligned with this agreement is strictly prohibited.

The following advertising practices are strictly prohibited and may result in the termination of your participation in the affiliate program and forfeiture of any earned commissions:

• Use of illegal or spam-based marketing techniques, including but not limited to unsolicited emails, unauthorized link placement in forums, message boards, or newsgroups;

• Running paid ads (e.g., Google Ads, Facebook Ads) using the “Vitruvin/Vitruline” brand name or any variation thereof without explicit prior authorization;

• Generating traffic through incentivized or misleading methods, such as pay-to-read, pay-to-click, click exchanges, banner exchanges, PPV advertising, pop-ups or pop-unders, or any similar traffic schemes;

• Promoting unapproved discounting tactics, such as offering unauthorized coupons, vouchers, discount codes, or bundled value offers without prior written consent from Vitruvin;

• Use of promotional content in a manner that harms or misrepresents the Vitruvin brand, including defamatory or misleading context;

• Employing deceptive tracking mechanisms, including but not limited to iframes, hidden links, or any other methods that insert affiliate cookies without a clear and intentional user action;

• Use of the “Vitruvin” name or variations thereof - including trademarks, domain names, product names, or company identifiers - in your own domain names, company names, trademarks, logos, or any similar identifying materials that could cause confusion with the official Vitruvin brand;

• Posting affiliate links on official Vitruvin social media channels or impersonating Vitruvin in any marketing or communications.

• Using affiliate links to purchase Vitruvin products or subscriptions for yourself or entities under your control.

We reserve the right to take appropriate action, including immediate termination of your affiliate status, if any of the above practices are observed or reasonably suspected.

Trademark Bidding Policy

As an affiliate of Novus Creatus LLC, operating under the brand name Vitruvin, you are strictly prohibited from bidding on any keywords or variations thereof that include our brand name (e.g., “Vitruvin,” “vitruven,” “vitruvian,” etc.), or terms closely associated with our product category for the purpose of internet advertising or search engine marketing.

These terms are considered proprietary to Vitruvin. Unauthorized use in any paid advertising campaigns, including but not limited to search engine marketing (SEM), pay-per-click (PPC), display advertising, and social media advertising, constitutes a breach of this Agreement and may result in the immediate suspension or termination of your affiliate account, including the forfeiture of any unpaid commissions.

Affiliates are expected to fully comply with this policy. Attempts to circumvent these rules—such as through misspellings, alternate domain spellings, or similar tactics—will be regarded as a violation of these terms.

Vitruvin reserves the right to update or expand the list of restricted keywords at any time, at its sole discretion. Affiliates will be notified of any material changes via email.

These restrictions are in place to protect the integrity of the Vitruvin brand and to maintain a fair and competitive environment for all partners.

Modification of Terms

Vitruvin reserves the right to amend, modify, or update any of the terms and conditions set forth in this Agreement at any time, at its sole discretion. Modifications may include, but are not limited to, changes in commission structures, payment procedures, or other rules governing the Vitruvin Affiliate Program.

If any modification is not acceptable to you, your sole remedy is to terminate this Agreement. Your continued participation in the Vitruvin Affiliate Program after any such changes have been communicated to you or published on our website shall constitute your binding acceptance of the revised terms.

Affiliate Tracking Cookies

Vitruvin utilizes browser cookies to track affiliate referrals and sales. When a user clicks on an affiliate link directing them to the Vitruvin website, a cookie is automatically placed in that user's browser to identify the referring affiliate. Each cookie is valid for a period of thirty (30) days from the time it is set. If the user has an existing affiliate cookie from a prior referral, the new cookie will replace the previous one. This mechanism ensures that the most recent referral is credited for any eligible transactions completed within the cookie’s validity period.

Affiliate Commissions Payment Policy

Affiliates are eligible to earn a commission for each new active customer referred to Vitruvin. Specific commission rates and terms are customized and communicated at the time of program enrollment.

If a referred customer applies a discount code at checkout, the commission will be calculated based on the discounted transaction amount, not the original retail price.

Vitruvin reserves the right to reverse or withhold commissions in the event of order cancellations, returns, chargebacks, duplicate tracking, or any violations of this Agreement. This payment policy may be updated at Vitruvin’s sole discretion. Affiliates will be notified of any material changes to the policy.

Grant of Licenses

Vitruvin grants you a limited, non-exclusive, non-transferable, and revocable license to:

1. Use the HTML links provided by Vitruvin to direct traffic to our website, in accordance with the terms of this Agreement;

2. Use Vitruvin’s logos, trademarks, trade names, and other brand materials (collectively, the “Licensed Materials”) solely for the purpose of promoting Vitruvin as an authorized affiliate.

You may use the Licensed Materials only while you are an active and compliant participant in the Vitruvin Affiliate Program. All rights, ownership, and interest in the Licensed Materials remain the exclusive property of Vitruvin. Any goodwill resulting from your use of these materials will belong solely to Vitruvin.

Neither party may use the other’s intellectual property in a way that is defamatory, misleading, offensive, or damaging to the other’s reputation. Except as specifically stated in this Agreement, no other rights to use, copy, or distribute any intellectual property are granted. All rights not expressly granted are reserved.

Disclaimer

Vitruvin makes no express or implied representations or warranties regarding the Vitruvin website, its services, or any products offered therein. Any and all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed to the fullest extent permitted by law.

Furthermore, Vitruvin does not warrant that the operation of its website will be uninterrupted or error-free. We shall not be held liable for any consequences arising from such interruptions, errors, or any technical malfunctions that may occur.

Confidentiality

Unless these Terms provide otherwise, information related to the Affiliate Program conditions, all business and financial information, pricing and sales information related to us or any of our affiliates is to be considered strictly confidential and secret and shall not be utilized, directly or indirectly, by you for any purpose other than your participation in the Affiliate Program.

Miscellaneous

1. Injunctive Relief:

You acknowledge that Vitruvin may seek injunctive or other equitable relief to prevent or address any breach of these Terms. Seeking such relief does not limit Vitruvin’s right to pursue other legal remedies available under the law.

2. No Assignment:

Except to its affiliates or within its corporate group, neither party may assign any rights or obligations under these Terms without prior written consent from the other party. Such consent shall not be unreasonably withheld. These Terms will be binding upon and enforceable by both parties and their respective successors and permitted assigns.

3. Modifications:

Vitruvin may update or modify these Terms from time to time. Unless stated otherwise, any changes will take effect once the updated Terms are published. Continued participation in the Affiliate Program constitutes acceptance of those changes.

4. Independent Relationship:

You and Vitruvin are independent contractors. Nothing in these Terms creates a partnership, franchise, joint venture, agency, fiduciary or employment relationship among the Vitruvin and Affiliate Partner.
